Management measures for the platform of Collaborative Innovation and Achievement Transformation of our Company
In order to implement the opinions of the General Office of the State Council on deepening seed Industry system Reform and improving Innovation ability (State Office (2013) No. 109), to promote the omni-directional cooperation between Tianjin Tianlong seed Industry Science and Technology Co., Ltd. (hereinafter referred to as the company) and scientific research institutions and breeding experts in terms of technology and resources, the company will establish a platform for collaborative innovation and achievement transformation to provide achievements transformation services for innovative technologies and varieties of scientific research institutions and individuals.
These measures are formulated in order to standardize and improve the operation process of the collaborative innovation platform.
Chapter I General principles
The first platform aims to achieve "scientific and technological innovation to promote industrial development, industrial development to feed scientific research and innovation, and the construction of a commercial breeding system".
For rice, wheat, corn and other major crop varieties, in line with the principle of "maximizing the industrialization of excellent scientific and technological achievements", attract scientific research institutions and breeding experts to complete the scientific and technological achievements of units or individuals to transform to the company platform.
Article 2 after the cooperation intention has been reached between scientific research institutions, breeding experts and this platform, the two sides shall, on the premise of following these management measures, sign a standard cooperation agreement to ensure the smooth development of all cooperation.
Chapter II platform functions
Article 3 the function of transforming achievements
Category An achievements and transformation: the approved varieties with independent intellectual property rights will realize industrialization on the platform in the form of transferring the variety management and development rights to Tianlong Company; the varieties that are participating in the regional test will transfer the variety management and development rights to Tianlong Company after examination and approval to realize industrialization.
Category B achievements and transformation: mature strains / combinations, with Tianlong Company as the exclusive breeding unit and declaration unit to participate in the regional test and approval, after approval, the industrialization development will be carried out directly by Tianlong Company.
Article 4 the trading function of variety rights
For mature strains / combinations, Tianlong Company is the exclusive breeding unit and declaration unit to participate in the regional test, and Tianlong Company is directly responsible for the transaction of its variety management and development rights after examination and approval.
Chapter III process of Achievement Transformation
Article 5 Variety transformation procedures have been approved or are taking part in regional trials

The achievement completion units (individuals) that intend to transform their own achievements on the platform carefully read the Management measures of the platform for Collaborative Innovation and Achievement Transformation of Tianjin Tianlong seed Science and Technology Co., Ltd.

After successful negotiations, the two sides signed the "Achievement Transformation Agreement", the approved varieties will take effect immediately, and the varieties that are participating in the regional test will take effect after examination and approval.
3.
Tianlong Company is responsible for the industrialization promotion and sales of achievements.
4.
Upon completion of the results, the following materials will be provided:
(1) Variety approval certificate (the variety participating in the regional test shall be provided after it has been examined and approved).
(2) text materials and electronic photos of varieties participating in the regional test (more than 1m).
(3) parents and standard samples of varieties.
Article 6 mature strains / combinations can be accepted by this platform at the same time, and the transformation process is as follows.

Scientific research institutions or individuals agree to conduct quality comparison tests and rice resistance identification of mature strains / combinations on this platform, and to provide seeds.
3.
Screening by comparison test.
The mature strain / combination was tested by the achievement-owning unit or individual and Tianlong company at the same time, and the test site was selected by the achievement-owning unit or individual, while the company chose the suitable site for the variety in the northeast and Huang-Huai region respectively, and the strain / combination with good performance was selected according to the comprehensive evaluation of the results of the comparison test between the two sides.
4.
Identification of rice quality and resistance.
Tianlong Company identified the rice quality and resistance of the selected strains / combinations in the comparison test, and further screened the strains / combinations to enter the next regional test.
5.
Regional trials.
For the strains / combinations that performed well in the comparison test and the identification of rice quality and resistance, Tianlong Company was used as the exclusive breeding unit and declaration unit to be responsible for the regional test.
6.
After the variety has been examined and approved, Tianlong Company shall apply for new variety protection and transform it in two ways:
(1) carry out industrialization promotion and sales directly in Tianlong Company.
(2) transfer the right of operation and development to a third party through the innovation platform.
Chapter IV responsibilities and income Distribution of both parties
Article 7 duties of both parties
1.
For the varieties that have passed the examination and approval, the achievement completion unit (individual) shall be responsible for the technical guidance, and Tianlong Company shall be responsible for the industrialization and promotion.
two.
For the strains / combinations that are participating in the regional test, the achievement completion unit (individual) will continue to be responsible for the regional test work and related expenses, and then be industrialized and promoted by Tianlong Company after examination and approval.
3.
For mature strains / combinations, except for the comparison test units (individuals) and Tianlong Company are respectively responsible for the cost of the test site, other work, including rice quality and resistance identification and related fees, regional test work and related fees, new variety protection and related expenses, and Tianlong Company will be responsible for industrialization promotion or variety right transaction after examination and approval.
Article 8 income distribution

For the variety that has been approved and only transferred the operation and development right in Tianlong Company, based on the market sales income of this variety, the achievement completion unit (individual) will be awarded the performance reward according to a certain proportion of the annual net sales profit of the variety, and the two sides will separately negotiate the specific extraction ratio according to the promotion value of the variety and the promotion area.

For the mature strains / combinations provided by the achievement completion unit (individual) and with Tianlong Company as the breeding unit and reporting unit, after national examination and approval or provincial (autonomous region, municipality) level examination and approval, according to the promotion value and promotion area of the variety, the two sides shall separately negotiate the reward standard for variety examination and approval.
At the same time, based on the market sales income of the variety, the achievement completion unit (individual) will be awarded the performance reward according to a certain proportion of the annual net sales profit of the variety, and the two sides will negotiate the specific extraction ratio separately according to the promotion value of the variety and the promotion area.
The performance reward is controlled by the achievement unit or individual.
In view of the above two situations, for the varieties with high sales profits, the company will reward them separately every year.
3.
For the mature strains / combinations provided by the achievement completion units (individuals) and with Tianlong Company as the breeding unit and reporting unit, after examination and approval, the variety management and development rights are transferred to other companies by Tianlong Company, on the basis of national examination and approval and provincial (autonomous region, municipality) level examination and reward, a certain proportion of the transfer fee of operation and development right will be given to the achievement completion unit (individual).
The proportion standard shall be negotiated separately by both parties.
4.
For the strains / combinations that are participating in the regional test but have not passed the examination and approval, the two parties shall terminate the cooperation agreement and do not pay compensation fees to each other.
5.
For the strain / combination with Tianlong Company as the breeding unit and reporting unit, if it does not pass the examination and approval, the relevant cooperation agreement will be terminated and no compensation fee will be paid to each other.
Chapter V Supplementary provisions
Article 9 the units (or individuals) who have completed the achievements shall be responsible for the intellectual property disputes arising from the introduction of varieties that have passed the examination and approval.
Article 10 Tianjin Tianlong seed Industry Technology Co., Ltd. shall be responsible for the interpretation of these measures and shall be implemented as of the date of promulgation.
